These Terms of Service (“Terms”) govern your access to and use of the Satoshi Products online store and any related websites, checkout pages, accounts, and services (the “Store”). The Store is operated by FlatRate.Live LLC (“Company,” “we,” “us,” or “our”).

By browsing the Store, creating an account, or completing a purchase, you agree to these Terms. If you do not agree, do not use the Store.

1. Who We Are

Satoshi Products is a retail store operated by FlatRate.Live LLC. We sell digital products, subscriptions, and, when offered, physical merchandise.

FlatRate.Live LLC also operates technology platforms related to automotive technician tools and training. We are not an accredited school, college, university, or licensing body. Nothing sold through Satoshi Products constitutes a degree, diploma, academic credit, official certification, or guarantee of employment, exam passage, or earnings.

2. Eligibility

You must be at least 18 years old and able to enter a binding contract. By using the Store you represent that you meet these requirements and that information you provide is accurate.

3. Accounts

You are responsible for your account credentials and for all activity under your account. Notify us immediately of unauthorized use. We may suspend or close accounts that violate these Terms or that we reasonably believe present risk of fraud, abuse, or chargebacks.

4. Products and Descriptions

We try to describe products accurately. Images, descriptions, pricing, and availability may change at any time and may contain errors. We reserve the right to correct errors, refuse or cancel orders, and limit quantities.

Digital products are delivered electronically (account access, license, or download). Physical products ship to the address you provide at checkout.

5. Orders, Pricing, and Payment

  • Prices are shown at checkout and may change before you place an order.
  • You authorize us and our payment processors to charge the payment method you provide.
  • We may refuse or cancel an order if payment fails, if we suspect fraud, or if the product cannot be fulfilled.
  • There are no free products, free tiers, or free trials offered through the Store.

6. Digital Products and Subscriptions

Digital products and subscriptions are licensed, not sold, except as otherwise stated on the product page.

You receive a limited, personal, non-exclusive, non-transferable license to use the digital product for your own lawful purposes. You may not copy, resell, share, sublicense, reverse engineer, or publicly distribute Store content unless we expressly allow it in writing.

Subscriptions renew automatically until canceled. Cancel before the next renewal to stop future charges. Cancellation does not refund time already paid. Access continues through the end of the current paid period.

7. Returns and Refunds

Returns and refunds are governed by the Satoshi Products Return and Refund Policy posted in the Store. In summary:

  • Digital products are generally final sale once access or download is delivered, except where required by law or in the limited cases stated in that policy.
  • Eligible physical products may be returned within the period and under the conditions stated in that policy.

If there is a conflict between these Terms and the Return and Refund Policy on a refund issue, the Return and Refund Policy controls for that issue.

8. Acceptable Use

You agree not to:

  • Use the Store or any product for unlawful purposes
  • Interfere with the Store’s operation, security, or other users
  • Share account access or circumvent payment or access controls
  • Misrepresent your identity or payment information
  • Scrape, harvest, or misuse Store content
  • Abuse chargebacks or payment disputes in bad faith

We may suspend access or refuse service if you violate this section.

9. Intellectual Property

The Store, product names, logos, text, graphics, software, and other content are owned by FlatRate.Live LLC or its licensors. These Terms do not transfer any ownership to you except the limited license described above.

“Satoshi Products,” “FlatRate.Live,” “ASE Forge,” and related marks are identifiers of FlatRate.Live LLC or its brands. You may not use them without our prior written permission.

10. User Content

If you submit reviews, messages, or other content, you grant FlatRate.Live LLC a worldwide, royalty-free license to use, display, and distribute that content in connection with operating and promoting the Store. You represent that you have the right to submit it and that it does not infringe others’ rights.

We may remove content that we consider unlawful, misleading, or inappropriate.

11. Third-Party Services

The Store uses Shopify and other third-party processors, shippers, and tools. Their terms and privacy practices apply to their services. We are not responsible for third-party sites or services we do not control.

12. Disclaimers

THE STORE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLATRATE.LIVE LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant uninterrupted or error-free operation, or that digital products will meet your expectations or produce any particular result, including exam success, higher pay, or job outcomes.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLATRATE.LIVE LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING FROM YOUR USE OF THE STORE OR ANY PRODUCT.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE STORE OR A PURCHASE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE PRODUCT GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS BEFORE THE CLAIM.

Some jurisdictions do not allow certain limitations. In those places, our liability is limited to the fullest extent permitted by law.

14. Indemnification

You agree to indemnify and hold harmless FlatRate.Live LLC and its owners, officers, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Store, your products use, your content, or your violation of these Terms.

15. Termination

We may suspend or terminate your access to the Store or to digital products at any time if you violate these Terms, fail to pay, or if we discontinue a product. Sections that by their nature should survive (including payment obligations already incurred, licenses limitations, disclaimers, limitation of liability, and indemnification) survive termination.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules.

Any dispute arising out of these Terms or a Store purchase shall be resolved exclusively in the state or federal courts located in Utah, and you consent to personal jurisdiction there. Either party may still seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.

17. Changes

We may update these Terms at any time by posting a revised version in the Store. The “Last updated” date will change. Continued use after changes constitutes acceptance. For a completed purchase, the Terms in effect at the time of that purchase apply to that order, except where a change is required by law.
